Submission Terms
Draft — this document is pending legal review and approval before publication.
1. Scope
These terms govern the submission of investment ideas, theses and supporting materials ("Submissions") to Leonidsport B.V., KvK 95803203 ("Leonidsport", "we") through this website. By making a Submission you accept these terms.
2. Confidentiality
Submissions are treated as private and are accessible only to authorised Leonidsport B.V. personnel. However, no system of transmission or storage is infallible, and you should not submit information whose disclosure would cause you harm if it were inadvertently revealed.
3. Lawful information only
You must not submit material non-public information, unlawfully obtained information, or information you are prohibited from disclosing under any law, regulation, contract or duty of confidence. By submitting, you represent that your Submission complies with this requirement.
4. No relationship created
A Submission does not create any advisory, employment, partnership, agency or compensation relationship between you and Leonidsport. Leonidsport does not act as your adviser and owes you no fiduciary duty in respect of a Submission.
5. No obligation
Leonidsport is under no obligation to review, respond to, acknowledge or act upon any Submission, and may discard Submissions at its discretion.
6. Independent evaluation
Leonidsport may already be evaluating, or may in future evaluate or invest in, opportunities that are similar or identical to a Submission. No compensation is owed merely because an idea was submitted, reviewed, or because a similar opportunity was independently pursued.
7. Compensation
Any financial compensation or participation arrangement will only arise under a separately negotiated written agreement signed by both parties before the relevant idea is acted upon under that arrangement. Nothing on this website constitutes an offer of compensation.
8. Intellectual property
You retain ownership of your Submission. You grant Leonidsport a non-exclusive, royalty-free licence to review, reproduce and internally distribute the Submission for evaluation purposes.
9. Governing law
These terms are governed by the laws of the Netherlands. The courts of Amsterdam have exclusive jurisdiction.
